Terms of Use – TipsYou

1. Introduction

Welcome to the TipsYou application (hereinafter "the Application"), published by HumanX, a simplified joint-stock company (SAS) registered with the Bobigny Trade and Companies Register (RCS) under number 931 308 704, with its registered office at 48 Boulevard Jean Moulin, 93190 Livry-Gargan, France. By downloading, accessing, or using the Application, you agree to be bound by these Terms of Use (hereinafter "the Terms"). If you do not agree with these Terms, please do not use the Application.

2. Description of the Application

• The Application allows users to:
• - Receive individual tips via a personalized QR code;
• - Transfer received funds to their bank account;
• - Create or join a team to receive tips as a group;
• - Distribute the shared pot among selected team members;
• - View statistics and detailed history of their tips and distributions;
• - Generate a QR code linking to a payment page, digital menu, or Google review link.
• The Application is available on iOS and Android. A showcase website is accessible at https://thetipsyou.com.

3. Registration and User Account

• 3.1. To use the Application, you must register and create a user account. Registration is available via email and password, or through Google Sign-In or Apple Sign-In.
• 3.2. You must provide accurate, complete, and up-to-date information (last name, first name, email, date of birth, country). Inaccurate information may cause issues with bank transfers, for which we bear no liability.
• 3.3. To receive bank transfers, you must complete identity verification (KYC) with our payment provider Stripe. This verification may require an identity document and bank account details (IBAN).
• 3.4. You are responsible for maintaining the confidentiality of your password and all activities under your account.
• 3.5. The Application offers biometric authentication (Face ID, Touch ID, fingerprint) as an additional security measure. Biometric data is stored solely on your device and is never transmitted to our servers.
• 3.6. In case of unauthorized use or security breach, please notify us immediately at support@tipsyou.fr.

4. Use of the Application

• 4.1. You agree to use the Application solely for lawful purposes and in accordance with these Terms.
• 4.2. You agree not to:
• - Violate any applicable laws or regulations (including tax regulations);
• - Use or send inappropriate content or content contrary to our standards;
• - Transmit or facilitate spam or fraudulent content;
• - Attempt unauthorized access to the Application, other users' accounts, or HumanX computer systems.

5. Financial Transactions and Tax Obligations

• 5.1. You are solely responsible for declaring tips received to the tax authority in your jurisdiction.
• 5.2. Individual tips: The net amount (after fee deduction) is credited directly to the user's connected Stripe account.
• 5.3. Team tips: Tips are received on the TipsYou platform account and credited to the team balance. The team leader can then distribute this balance among selected members.
• 5.4. Team distribution: When the team leader initiates a distribution, individual amounts are first recorded as "pending". Stripe transfers to members' connected accounts are executed automatically once funds are available on the platform. Members are notified at each step.
• 5.5. Bank transfers: You can request the transfer of your available balance to your bank account at any time, subject to a minimum amount and completion of identity verification. Funds generally arrive within 2 to 5 business days depending on banks. An email verification code is required to confirm each transfer.
• 5.6. Any inaccuracy in your information may cause transfer failures or delays, for which we bear no liability.

6. Fees and Commissions

• 6.1. Registration and use of the Application are free of charge.
• 6.2. A 5% commission is deducted by TipsYou from each tip received, with a minimum of €0.15. These fees cover management and platform operating costs.
• 6.3. The payment provider Stripe applies its own processing fees on each transaction. These fees are in addition to the TipsYou commission.
• 6.4. External fees may apply at the time of bank transfer, charged by the bank or payment provider.
• 6.5. In case of a transfer failure attributable to the payment provider, we will attempt to recover the amounts where possible.
• 6.6. These fees may be modified at any time with reasonable notice via notification in the Application.

7. Team Features

• 7.1. Any user can create a team and become its leader. The leader can invite members via a team code or sharing link.
• 7.2. The team leader is responsible for distributing tips among members. They select the relevant members and validate the distribution.
• 7.3. Team members can view distribution history and their individual participation.
• 7.4. A user can only be a member of one team at a time.
• 7.5. The team leader can accept or reject membership requests and remove members.
• 7.6. If a member leaves, their personal balance remains theirs. Undistributed team tips remain in the team pot.

8. QR Code and Payment Link

• 8.1. Each user or team receives a unique QR code for receiving tips.
• 8.2. The QR code can be linked to a custom URL (digital menu, website, Google review page).
• 8.3. The user is responsible for the use of their QR code and agrees not to use it for fraudulent purposes.
• 8.4. Accepted payment methods include credit card (Visa, Mastercard), Apple Pay, and Google Pay. Customers (tip donors) do not need to create an account to make a payment.

9. Notifications

• 9.1. The Application sends push notifications to inform you of tips received, balance updates, team distributions, and other account-related events.
• 9.2. You can disable notifications at any time in your device settings.
• 9.3. Transactional emails (verification codes, password reset) are sent when necessary for the operation of the service.

10. Intellectual Property

• All rights related to the Application, including intellectual property rights, belong to HumanX.
• Any use, reproduction, modification, or distribution without written authorization is prohibited.

11. Privacy

• The confidentiality of your personal data is essential. Please refer to our Privacy Policy for details on how your data is collected, used, and protected.

12. Limitation of Liability

• 12.1. The Application is provided "as is", without any express or implied warranty.
• 12.2. We do not guarantee uninterrupted or error-free service.
• 12.3. We disclaim any liability for any loss or fraudulent use related to a security failure of your device.
• 12.4. HumanX cannot be held liable for processing delays attributable to payment providers or banking institutions.

13. Disclaimer for Tax Non-Compliance

• The user is solely responsible for declaring their income, including tips received through the Application. HumanX disclaims any liability in case of failure to meet these tax obligations.

14. Dispute Protection

• 14.1. In case of a dispute, you agree to indemnify us for any claims or costs resulting from a breach of these Terms.
• 14.2. HumanX cannot be held liable for disputes involving third parties arising from your use of the Application.

15. Support and Complaints

• 15.1. A support service is accessible through the Application or by email at support@tipsyou.fr.
• 15.2. Complaints are handled as promptly as possible. HumanX commits to responding within a reasonable timeframe.

16. Changes to the Terms

• We reserve the right to modify these Terms at any time. Users will be notified of significant changes via notification in the Application. Continued use of the Application after notification constitutes acceptance of the updated Terms.

17. Termination

• 17.1. We may suspend or terminate your account in case of non-compliance with these Terms, suspected fraudulent activity, or prolonged inactivity.
• 17.2. You may close your account at any time by contacting us at support@tipsyou.fr. Account closure results in the deletion of your personal data in accordance with our Privacy Policy, subject to legal retention obligations.

18. Governing Law and Jurisdiction

• These Terms are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Bobigny, France.
